PLEASE READ THESE TERMS CAREFULLY.

This Partner Program Agreement ("Agreement") is a binding legal contract between Servita SME Limited ("Servita," "we," "us," or "our") and you ("Partner," "you," "your").

1. Definitions & Program Enrollment

1.1. Entity Definition: "Servita" means Servita SME Limited, a limited company registered in England and Wales.

1.2. Application: To become a Partner, you must submit an application via our partner portal (powered by Rewardful). We reserve the right to accept or reject any application at our sole discretion.

1.3. Scope: This Agreement governs your participation in our Partner Program, which allows you to promote the Servita SME Transformation Platform ("Services") in exchange for commissions on successful referrals.

1.4. Relationship: You are an independent contractor, not an employee, agent, or partner (in the legal sense) of Servita. You have no authority to bind Servita to any agreement.

2. Partner Obligations & Restrictions

2.1. Promotion: You agree to promote Servita in a professional, positive, and legal manner. You must clearly disclose your relationship with us (e.g., using tags like #ad or #partner) in compliance with advertising laws (such as the FTC Guides or UK CAP Code).

2.2. Link Usage: You will be issued a unique referral link or code ("Partner Link"). It is your responsibility to ensure this link is used correctly; we cannot track or pay commissions for referrals where the link was not properly used or tracked by our system.

2.3. Prohibited Activities: You agree NOT to:

  • Self-Refer: Use your own link to purchase services for yourself or your own company to obtain a discount.
  • Spam: Send unsolicited bulk emails or messages promoting Servita.
  • Misrepresent: Make false claims about the Services or guarantee results on our behalf.
  • Cookie Stuffing: Use techniques that set the tracking cookie without the user knowingly clicking the link.
  • Illegal Content: Promote Servita on sites containing illegal, violent, or sexually explicit content.

2.4. PPC & Keyword Bidding Restrictions (Critical):

You are strictly prohibited from bidding on Servita trademarked terms (e.g., "Servita," "Servita SME," "Servita Platform") or any variations or misspellings thereof on search engines (Google Ads, Bing, etc.). You may not use our brand name in the display URL of your ads. Violation of this clause is grounds for immediate termination and forfeiture of all commissions.

2.5. Use of Servita Group Affiliates:

You acknowledge and agree that Servita SME Limited may use its subsidiary companies or other corporate affiliates within the Servita Group ("Affiliates") to provide some or all of the Services (such as payment processing) on its behalf. Servita SME Limited remains the sole entity responsible to you for its obligations under these Terms.

2.6. Data Privacy Obligations:

You agree to comply with all applicable data protection laws (including GDPR and CCPA) regarding any data you collect from potential customers. You must not share any personal data with Servita unless you have obtained the necessary consents or have a lawful basis to do so.

3. Commissions and Payouts

3.1. Commission Rates: Commissions are paid as a percentage (%) or a fixed amount per Qualified Referral. The specific rate applicable to you is defined in your Rewardful Dashboard. We reserve the right to change commission rates for future referrals with notice.

3.2. "Qualified Referral": A commission is earned only if:

  • A user clicks your Partner Link or uses your Partner Code;
  • The user successfully purchases an AI Opportunity Assessment;
  • The user is not an existing customer of Servita; and
  • The user does not refund or chargeback the payment within the review period (typically 30 days).

IMPORTANT: Commissions are paid only on the initial purchase of the AI Opportunity Assessment. No commissions are paid on subsequent purchases, recurring platform subscriptions, "Packs," Expert calls, or any other future spend by the user, unless explicitly stated otherwise in your specific Partner Offer.

3.3. Attribution Logic:

Attribution is determined on a "Last Touch" basis. If a user interacts with multiple partners, the commission is awarded to the partner whose link was clicked last before the purchase. If a user clicks a partner link but has already purchased or is an existing customer, no commission is awarded. Servita’s tracking data via Rewardful is final and binding.

3.4. Tracking Window:

We use a six (6) month cookie window. If a user clicks your link but does not purchase immediately, you will still be credited if they return and purchase an Assessment within 6 months. After 6 months, the referral attribution expires.

3.5. Payout Schedule:

  • Commissions are paid out once per month.
  • Commissions are subject to a "holding period" (typically 30-60 days) to allow for customer refunds.
  • Payouts are made via Stripe or PayPal (as supported by our platform). You must have a valid account to receive funds.

3.6. Minimum Threshold:

Commissions are paid out only when your accrued unpaid commissions exceed $2,000.00 USD (or currency equivalent). Accrued amounts below this threshold will be carried over to the next month.

3.7. Refunds & Clawbacks:

If a customer you referred requests a refund or issues a chargeback after we have paid you a commission, we reserve the right to deduct that commission amount from your future payouts ("Clawback"). If no future payouts are due, you agree to refund the amount to us upon request.

3.8. Taxes:

You are solely responsible for all taxes, fees, and duties associated with your receipt of commissions.

4. Intellectual Property & Confidentiality

4.1. License to Use Brand: Servita grants you a limited, non-exclusive, non-transferable, revocable license to use our provided marketing assets (logos, banners) solely for the purpose of promoting our Services in accordance with this Agreement.

4.2. Restrictions: You may not modify our logos or create confusingly similar domains or social media handles (e.g., you cannot register servita-discounts.com or @ServitaOfficialUK).

4.3. Confidentiality: During your participation in the Program, you may receive confidential information from Servita (e.g., future product roadmaps, unreleased features, commission structures). You agree to keep such information confidential and not disclose it to any third party without our prior written consent.

5. Term and Termination

5.1. Term: This Agreement begins upon your acceptance into the Program and continues until terminated.

5.2. Termination for Convenience: Either party may terminate this Agreement at any time, with or without cause, by giving written notice.

5.3. Termination for Cause: We may terminate this Agreement immediately if you violate these terms (specifically Section 2). In such cases, you forfeit all unpaid commissions.

5.4. Termination for Inactivity: We reserve the right to terminate your account if you have not generated a Qualified Referral for a period of twelve (12) consecutive months.

5.5. Effect of Termination: Upon termination, you must immediately stop using our links and brand assets. We will pay out any outstanding, valid commissions earned prior to termination (unless forfeited for cause) subject to the minimum threshold in Section 3.6.

6. Liability and Indemnification

6.1. No Warranties: The Partner Program is provided "as is." We make no representation that your participation will be profitable.

6.2. Limitation of Liability: Servita will not be liable for any indirect, special, or consequential damages (loss of revenue, profits, or data) arising in connection with this Agreement. Our total liability to you shall not exceed the total commissions paid to you in the three (3) months prior to the claim.

6.3. Indemnification: You agree to indemnify and hold Servita harmless from any claims, damages, or expenses arising from your negligence, misconduct, or breach of this Agreement.

7. General Provisions

7.1. Modification: We may modify these terms at any time. Continued participation in the Program constitutes acceptance of the changes.

7.2. Governing Law: This Agreement is governed by the laws of England and Wales. Any disputes shall be resolved exclusively in the courts of England and Wales.

7.3. Entire Agreement: This Agreement constitutes the entire understanding between the parties regarding the Partner Program.
